Terms of Service

1. Acceptance of Terms

By accessing or using Matcha ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance. We will notify you of material changes via email or an in-app notice.

2. Description of Service

Matcha is an AI-native talent matching platform that connects talent, matchmakers, and employers. The Service includes profile creation, job search, matching algorithms, introductions, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Account and Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account.

4. Acceptable Use

You agree not to: (a) use the Service for any illegal purpose or in violation of applicable laws; (b) impersonate any person or entity; (c) upload false, misleading, or fraudulent content; (d) harass, abuse, or harm others; (e) scrape, crawl, or use automated means to access the Service without permission; (f) attempt to circumvent security or access controls; (g) interfere with the Service's operation or other users' use. We may suspend or terminate accounts that violate these rules.

5. User Content and Intellectual Property

You retain ownership of content you submit (profiles, resumes, messages). By submitting content, you grant Matcha a non-exclusive, worldwide, royalty-free license to use, store, process, and display that content to operate the Service and improve our matching and AI systems. Our Service, including software, design, and branding, is owned by Matcha and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

6. AI and Matching

Matcha uses AI and machine learning to power matching, search, and insights. AI-generated outputs (including match reasons and summaries) are provided for informational purposes and may not always be accurate or complete. Do not rely on them as professional advice. We continuously improve our models; results may vary over time.

7. Payment Terms

If you use paid features, you agree to pay applicable fees. Billing cycles and pricing are disclosed at the point of purchase. We may change pricing with advance notice. Refunds are handled according to our refund policy at the time of purchase. You are responsible for any taxes applicable to your use of the Service.

8. Termination

You may close your account at any time. We may suspend or terminate your access for violation of these Terms, for legal or regulatory reasons, or for operational necessity. Upon termination, your right to use the Service ceases. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Matcha and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred US dollars, whichever is greater. Some jurisdictions do not allow limitation of liability; in such cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Matcha, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

11. Dispute Resolution

For any dispute arising from these Terms or the Service, you agree to first contact us to attempt informal resolution. If unresolved, disputes shall be resolved by binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You waive any right to participate in class actions.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
